Terms of Service

These Terms of Service ("Terms") govern access to and use of Intellus Tech's websites, applications, business operations platform, and related services. By creating an account, accepting an invitation, selecting a plan, or using Intellus Tech, you agree to these Terms. If you use Intellus Tech for a business or other organization, you accept these Terms on its behalf.
1. Agreement and Definitions
In these Terms:
- "Business Customer" means the business or organization that owns or subscribes to a Intellus Tech workspace.
- "Authorized User" means an owner, administrator, employee, contractor, agent, or other person permitted by a Business Customer to use its workspace.
- "Customer Data" means information, content, records, files, credentials, and instructions submitted to, imported into, generated through, or transmitted using a Business Customer's workspace.
- "Service" means the Intellus Tech platform, public pages, support, integrations, and related features we make available.
These Terms, the Privacy Policy, any applicable order form or written agreement, and the plan details shown when a subscription is selected form the agreement between Intellus Tech and the Business Customer. A separately signed agreement controls if it expressly conflicts with these Terms.
2. Eligibility and Authority
You must be at least 18 years old and legally capable of entering a binding agreement to create an account. If you act for a Business Customer, you represent that you have authority to accept these Terms and manage the workspace on its behalf. You may not use the Service if applicable law prohibits you from doing so or if Intellus Tech has previously suspended or terminated your access for a material violation that remains unresolved.
3. The Intellus Tech Service
Intellus Tech is a cloud-based business operations platform. Depending on the selected plan and configuration, the Service may include business workspaces, team and role management, catalogs, product variants, inventory and locations, customer records, point-of-sale and order records, refunds, leasing and installment schedules, invoices, shipment records and tracking, reports, an omnichannel inbox, quick replies, interactive templates, automations, AI-assisted workflows, public reviews, support tickets, notifications, and third-party integrations.
Features, modules, limits, and availability may differ by package, region, deployment, account type, or integration. A feature shown in documentation or marketing material may require separate configuration, credentials, provider approval, or a different plan before it can be used.
4. Accounts, Workspaces, and Access
You must provide accurate registration and profile information, maintain a valid email address, and keep information reasonably current. Accounts are personal to the Authorized User and may not be shared. You are responsible for protecting passwords, passkeys, one-time codes, recovery information, access tokens, integration keys, and devices used to access Intellus Tech.
Business owners and administrators control invitations, roles, permissions, teams, connected services, and access to Customer Data. The Business Customer is responsible for ensuring that each Authorized User has only the access needed for their work, promptly removing access when it is no longer appropriate, and reviewing account sessions and activity. Actions taken through an account are treated as authorized by the Business Customer unless Intellus Tech has been notified of unauthorized access.
5. Plans, Trials, Modules, and Limits
Access to paid or trial features depends on the package assigned to the Business Customer. Packages may include specified modules, monthly or yearly billing periods, user or usage limits, and other entitlements. Intellus Tech may enforce plan limits, prevent new activity after a limit is reached, or require a package change for continued use of a module.
A trial begins when it is assigned or activated and ends on the date shown in the Service. Unless Intellus Tech agrees otherwise in writing, an expired trial does not automatically create a paid subscription or automatic card charge. Trial features may become unavailable when the trial ends. We may modify or withdraw a free or trial offering with reasonable notice where practicable.
6. Invoices, Taxes, and Payment
Paid packages are invoiced in advance on the billing period shown for the selected package or invoice. Intellus Tech may issue invoices in PKR or USD based on the Business Customer's billing region, profile, or an approved currency override. The Business Customer must provide complete billing information and pay each invoice by its due date using an accepted payment method communicated by Intellus Tech. Intellus Tech does not promise automatic card charging through the Service.
Prices exclude taxes, duties, levies, bank charges, and similar amounts unless the invoice expressly states otherwise. The Business Customer is responsible for applicable taxes and payment costs, except taxes based on Intellus Tech's net income. If an invoice is overdue, Intellus Tech may issue reminders, restrict plan changes, suspend some or all Service access, or end the subscription after reasonable notice. Payment does not restore access until cleared funds are confirmed.
Paid fees are non-refundable and are not prorated for unused time, reduced usage, removed users, disconnected integrations, or early termination, except where applicable law or a written agreement with Intellus Tech requires otherwise. Intellus Tech may correct invoice errors and will address an approved refund or credit through the payment method or account process it specifies.
7. Customer Data and Business Responsibilities
As between the parties, the Business Customer retains its rights in Customer Data. The Business Customer gives Intellus Tech and its service providers a worldwide, non-exclusive right to host, copy, process, transmit, display, and otherwise use Customer Data only as needed to provide, secure, support, and improve the Service, follow the Business Customer's configuration and instructions, enforce the agreement, and comply with law.
The Business Customer is responsible for:
- The accuracy, quality, legality, integrity, and appropriateness of Customer Data and instructions.
- Having all notices, permissions, consents, contractual rights, and other lawful grounds needed to collect and use Customer Data and make it available to Intellus Tech and connected providers.
- Responding to its customers, employees, and contacts about their information and honoring applicable access, correction, deletion, objection, and opt-out requests.
- Avoiding unnecessary sensitive information and applying appropriate safeguards to exports, reports, invoices, labels, public tokens, and files downloaded from the Service.
- Maintaining records or independent copies required for its legal, tax, employment, customer-service, or regulatory obligations.
Intellus Tech may remove or restrict Customer Data if we reasonably believe it is unlawful, malicious, infringes another person's rights, threatens the Service, or violates these Terms. Where appropriate, we will notify the Business Customer and allow a reasonable opportunity to address the issue.
8. Customer Communications and Messaging
The Service can send, receive, organize, automate, assign, and store messages through connected WhatsApp, Facebook, Instagram, email, and other supported channels. The Business Customer is the sender of its outbound communications and is responsible for message content, recipient selection, templates, timing, frequency, and compliance with provider rules and applicable marketing, privacy, consumer-protection, anti-spam, and telecommunications requirements.
The Business Customer must obtain any required opt-in, identify itself accurately, provide required notices, honor opt-outs and blocking requests, and avoid deceptive, abusive, discriminatory, or unlawful messages. Delivery is not guaranteed. Providers may delay, reject, filter, rate-limit, remove, or charge for messages, and Intellus Tech is not responsible for provider action outside our control.
9. Third-Party Integrations
Intellus Tech may connect with Shopify, Meta services, Google, Microsoft, IMAP/SMTP servers, storage providers, logistics providers, webhook destinations, and other third-party services. Enabling an integration authorizes Intellus Tech to exchange Customer Data, account information, credentials, permissions, messages, files, orders, catalog data, shipment information, and other content necessary to operate that integration.
The Business Customer is responsible for obtaining and maintaining provider accounts, approvals, credentials, paid provider plans, permissions, and compliance with provider terms. Intellus Tech does not control third-party services and is not responsible for their availability, pricing, data handling, security, changes, errors, suspensions, or termination. A provider's action may limit a Intellus Tech feature without entitling the Business Customer to a refund.
Disconnecting an integration stops future access using the disconnected credentials but may not delete information already imported into Intellus Tech or already transmitted to the provider. The Business Customer must use the provider's controls to manage information held by that provider.
10. AI Features
AI features may send prompts, instructions, conversation context, text, images, knowledge content, or other Customer Data to OpenAI, Anthropic, Google, Ollama, Ollama Cloud, LM Studio, or another compatible endpoint configured for the workspace. The Business Customer authorizes this processing when it enables or uses an AI feature and is responsible for selecting an appropriate provider, model, endpoint, credential source, and content.
AI-generated content may be incomplete, inaccurate, offensive, outdated, or unsuitable. It is not professional, legal, financial, tax, employment, medical, or compliance advice. The Business Customer must apply meaningful human review before using AI output in customer communications, pricing, inventory, orders, leases, decisions about individuals, or other consequential workflows. The Business Customer must not use AI features to make unlawful or solely automated decisions that materially affect a person without appropriate authorization, notice, review, and safeguards.
Intellus Tech does not guarantee a particular model, output, token count, response time, or continued provider availability. AI usage may be subject to plan limits and the selected provider's own terms, restrictions, and charges.
11. Sales, POS, Leasing, Billing, and Logistics Tools
Intellus Tech provides tools for recording and organizing business activity. Unless expressly stated in a separate written agreement, Intellus Tech is not the seller or lessor of a Business Customer's goods, the merchant of record, a bank, lender, payment processor, collection agent, insurer, carrier, courier, warehouse operator, accountant, tax adviser, or legal adviser. Recording a cash, card, bank-transfer, store-credit, refund, installment, deposit, shipment, or invoice entry does not mean Intellus Tech received, verified, transferred, refunded, insured, or delivered the related funds or goods.
The Business Customer is solely responsible for product descriptions, prices, stock accuracy, taxes, receipts, warranties, customer contracts, returns, refunds, payment collection, credit decisions, lease enforceability, late fees, consumer rights, delivery promises, customs, shipping data, and compliance with laws applicable to its business. Reports and calculations depend on Customer Data and configuration and must be independently reviewed before being relied upon.
12. Acceptable Use
You may not, and may not enable anyone else to:
- Use the Service or Customer Data in violation of law, provider rules, another person's rights, or these Terms.
- Send spam, scams, unlawful marketing, harassment, threats, hate content, malware, or deceptive communications.
- Upload malicious code; probe, scan, disrupt, overload, bypass, or interfere with the Service or its security and access controls.
- Access another account, workspace, message, file, or system without authorization or misrepresent identity or authority.
- Reverse engineer, decompile, scrape, copy, resell, sublicense, or create a competing service from Intellus Tech except where applicable law expressly permits it.
- Remove proprietary notices, circumvent plan limits, share accounts, or use automated means at a volume that harms the Service or other users.
- Use the Service for unlawful lending, discrimination, surveillance, exploitation of children, trafficking, controlled goods, or other prohibited activity.
- Submit content you do not have the right to use or expose credentials, highly sensitive data, or confidential information without appropriate authorization and safeguards.
13. Confidentiality and Security
Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party will use that information only to perform or exercise rights under the agreement, protect it with reasonable care, and disclose it only to personnel and providers who need it and are subject to appropriate obligations. This does not cover information that is public through no breach, already lawfully known, independently developed, or lawfully received without restriction. A party may disclose information when legally required after giving notice where lawful and reasonably practicable.
Intellus Tech uses reasonable technical and organizational safeguards, but no online service is completely secure. The Business Customer must configure permissions carefully, protect credentials, secure its devices and networks, review sessions and members, and notify support@intellustech.com promptly of suspected unauthorized access.
14. Intellectual Property and Feedback
Intellus Tech and its licensors own the Service, software, interfaces, visual designs, documentation, branding, templates supplied by Intellus Tech, aggregated service statistics, and all related intellectual-property rights. Subject to these Terms and payment of applicable fees, Intellus Tech grants the Business Customer a limited, non-exclusive, non-transferable, revocable right during the subscription to allow its Authorized Users to access and use the Service for its internal business operations.
No rights are granted except those expressly stated. If you provide suggestions, ideas, or feedback, you grant Intellus Tech a perpetual, worldwide, royalty-free right to use them without restriction or payment, provided we do not identify you publicly as the source without permission.
15. Privacy
Our Privacy Policy explains how Intellus Tech handles information for accounts, security, billing, support, analytics, Customer Data, integrations, and AI features. The Business Customer must provide its own legally sufficient privacy notices and obtain required permissions for information it controls. If the parties sign a separate data-processing agreement, that agreement controls the processing it covers.
16. Availability, Maintenance, and Service Changes
We aim to operate a reliable Service but do not promise uninterrupted or error-free availability, a particular uptime percentage, or that every issue can be corrected. Access may be affected by maintenance, updates, internet or infrastructure failures, provider outages, security incidents, legal requirements, or events outside our reasonable control.
We may add, modify, replace, limit, or discontinue features to improve the Service, address security or legal issues, reflect provider changes, or manage technical and commercial needs. We will use reasonable efforts to notify affected Business Customers before a material reduction to a paid core feature, unless urgent security, legal, or provider circumstances make advance notice impracticable.
17. Suspension and Termination
A Business Customer may stop using the Service or request termination by contacting Intellus Tech. Business owners may delete a workspace through available controls. Authorized Users may be removed by the Business Customer. Ending use does not cancel amounts already invoiced or owed and does not create a refund right.
Intellus Tech may suspend or terminate access if fees are overdue; these Terms, provider rules, or law are violated; use creates a security, legal, or operational risk; a provider disables a required integration; or continuing the Service is no longer commercially or technically reasonable. Where appropriate, we will provide notice and a reasonable opportunity to cure the issue. We may act immediately for fraud, unauthorized access, malicious activity, serious legal risk, or threats to users or the Service.
Before planned termination, the Business Customer should use the feature-specific exports available in Intellus Tech and retain records it needs. Intellus Tech does not promise a single complete workspace export or a fixed post-termination access period. After termination, we may delete or anonymize information when it is no longer needed, subject to the Privacy Policy and legal, billing, security, dispute, and enforcement requirements. Provisions that by their nature should survive termination will survive, including payment, confidentiality, intellectual property, disclaimers, indemnity, liability limits, and general legal terms.
18. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available". Intellus Tech disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted availability, and results from use. We do not warrant that Customer Data, calculations, reports, AI output, provider data, integrations, deliveries, messages, or exports will be complete, accurate, timely, recoverable, or suitable for the Business Customer's legal or operational requirements.
The Business Customer is responsible for evaluating the Service for its use case, reviewing important records and outputs, maintaining appropriate business continuity procedures, and obtaining professional advice where needed. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
19. Indemnity
To the extent permitted by law, the Business Customer will defend, indemnify, and hold harmless Intellus Tech and its personnel from third-party claims, losses, liabilities, damages, penalties, and reasonable costs arising from Customer Data; the Business Customer's goods, services, transactions, leases, communications, employment practices, taxes, refunds, deliveries, or customer relationships; its breach of these Terms, provider terms, or law; or its infringement or misuse of another person's rights. Intellus Tech will provide reasonable notice of a covered claim and allow the Business Customer to control the defence, provided no settlement admits fault or imposes obligations on Intellus Tech without our written consent.
20. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, business opportunities, anticipated savings, or data, even if advised that such loss was possible. Intellus Tech is not liable for third-party services, provider decisions, communications sent by a Business Customer, business transactions, payment or delivery failures, or Customer Data entered, configured, or acted upon by the Business Customer.
Intellus Tech's total aggregate liability arising from or relating to the Service or these Terms will not exceed the fees actually paid to Intellus Tech by the affected Business Customer for the Service during the twelve months immediately before the event giving rise to the claim. If no fees were paid, Intellus Tech's total aggregate liability will not exceed PKR 10,000. These limitations do not apply to liability that cannot lawfully be limited or excluded.
21. Governing Law and Disputes
These Terms and any dispute arising from them or the Service are governed by the laws of Pakistan, without regard to conflict-of-law principles. Before filing a formal claim, each party will make a good-faith effort for at least 30 days to resolve the dispute through written notice and discussion, unless urgent injunctive relief is reasonably required. The competent courts of Pakistan will have jurisdiction over unresolved disputes.
22. General Terms
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, civil unrest, government action, labour disputes, widespread internet or utility failures, cyberattacks, or provider outages. The Business Customer may not assign or transfer its agreement without Intellus Tech's prior written consent. Intellus Tech may assign it as part of a merger, reorganization, financing, sale of assets, or transfer of the Service.
The parties are independent contractors. These Terms do not create an employment, agency, fiduciary, franchise, partnership, or joint-venture relationship. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be adjusted to the minimum extent necessary and the remaining provisions will continue. Headings are for convenience only. Notices may be delivered through the Service, to the account email address, on an invoice, or to support@intellustech.com, as appropriate. Electronic notices satisfy written-notice requirements to the extent permitted by law.
23. Changes to These Terms
We may update these Terms as the Service, integrations, business model, or legal requirements change. We will post revised Terms with a new "Last updated" date and may provide additional notice through the Service or account email for material changes. Unless a different effective date is stated, revised Terms apply when posted. If a material change adversely affects an existing paid subscription, the Business Customer may stop using the Service before the change takes effect; continued use after the effective date constitutes acceptance to the extent permitted by law.
